Leadership and Corporate Governance

Mariposa’s collaborative leaders ensure that the company is managed according to corporate governing policies and legal articles of association. Each executive and managerial leader contributes to evolving the company so that objectives and initiatives are accomplished, and that also obligations are met while corporate principles are maintained and respected. Mariposa’s top-level body of management is the Executive Committee, which is a sub-component of the Mariposa Council of Corporate Governance. The Executive Committee is responsible for the primary decision-making and the implementation of corporate policies of Mariposa Group Canada Ltd. The Committee delegates the day-to-day management to the leadership body of specific divisions and subsidiaries who fulfill their tasks with the support of corporate departmental administrations. Mariposa’s leaders across the company strive to be a transparent body, matching the expectations of shareholders. The Mariposa Committee of Executive Leadership supports the managerial efforts and initiatives of the Chief Executive Officer, while also performing his | her duties that primarily pertain to managing the day-to-day operations of Mariposa’s business affairs and operations. The Committee is chaired by the Chief Executive Officer and comprises the executive leadership figures that preside over certain offices and departments that address specific interests and issues.
At committee meetings, the following corporate affairs and issues of concern are discussed:
The Chairman/woman endeavors to reach a consensus among the other members of the committee. In the event a consensus is not reached, the Chief Executive Officer is entitled to decide the matter.
Under the Legal Articles of Association, the Mariposa Council of Corporate Governance is responsible for the oversight management of the company and consists of a maximum of 15 members. The Council is charged with the overall conduct of Mariposa as the company in Canada; that includes the ethics and business conduct of executive management and the overall direction and performance of the company.
The Council rules specify that in addition to the Mariposa Council of Corporate Governance’s responsibilities under applicable governing policy and the Legal Articles of Association, the Mariposa Council of Corporate Governance is responsible for certain enumerated categories of decisions.
Under the council rules, the Mariposa Council of Corporate Governance delegates the oversight management of the company to the CEO; who, supported by the Mariposa Committee of Executive Leadership, formulate decisions with respect to the overall day-to-day management of the company. However, the CEO may not enter into transactions that form part of the key responsibilities of the Mariposa Council of Corporate Governance, unless such transactions have been approved by the council.
The Audit Subordinate Committee makes recommendations on the approval of the annual financial statements and the quarterly and half-year accounts, supports the Mariposa Council of Corporate Governance in the appointment of external auditors and ensures that audit activities are correctly directed.
The Remuneration, Nomination and Governance Subordinate Committee makes recommendations to the Mariposa Council of Corporate Governance for major appointments within the overall business units and subsidiaries of the company; including for example in the Mariposa Committee of Executive Leadership, and for remuneration strategies and long-term remuneration plans and also performs regular evaluations of the performance of the members of Mariposa Committee of Executive Leadership.
The Ethics, Compliance & Sustainability Subordinate Committee assists the Mariposa Council of Corporate Governance with the oversight of company culture and commitment to conducting ethical business practices; including the maintaining of personal integrity and operational performance and service sustainability. The Committee also oversees the ethics and compliance program; which includes the organization and framework for the effective governance of ethics and compliance, including all associated internal governing policies, procedures and controls. Moreover, the Committee oversees corporate strategies and effective corporate governance and ensures that the company’s principles are being upheld in relation to achieving corporate objectives and overall operational management strategy.
